01. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of all websites, software platforms, hosted applications, APIs, and digital tools operated by KalmiTech Technologies ("KalmiTech", "we", "our", or "us"), including kalmitech.app and all associated subdomains (such as EduSphere, UnibenLife, KalmiDeploy, AutoDoc, and related software).
By accessing, browsing, registering for, or utilizing any KalmiTech application, you agree to be bound by these Terms. If you do not agree, you must discontinue use immediately.
02. Software Provided "AS IS" & Warranty Disclaimer
Important Warranty Disclaimer:
TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, ALL SOFTWARE, CODE REPOSITORIES, WEB INTERFACES, DOCUMENTATION, AND ASSOCIATED SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
KALMITECH EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, NON-INFRINGEMENT, UNINTERRUPTED UPTIME, OR ERROR-FREE PERFORMANCE.
03. Limitation of Liability
Liability Cap & Exclusions:
IN NO EVENT SHALL KALMITECH, ITS FOUNDER (NORI ABURE), CONTRIBUTORS, AFFILIATES, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, REPUTATION, WORK STOPPAGE, SYSTEM FAILURE, OR FINANCIAL OUTCOMES ARISING OUT OF OR IN CONNECTION WITH THE SOFTWARE.
IN ALL EVENTS, THE TOTAL AGGREGATE LIABILITY OF KALMITECH FOR ALL CLAIMS ARISING UNDER OR RELATING TO THESE TERMS SHALL BE CAPPED AT AND NOT EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO KALMITECH FOR THE SPECIFIC SERVICE IN QUESTION OVER THE PRECEDING THREE (3) MONTHS, OR FIFTY UNITED STATES DOLLARS ($50.00 USD), WHICHEVER IS LESS.
04. Acceptable Use & Prohibited Conduct
When interacting with any KalmiTech infrastructure or application, you agree not to:
- Probe, scan, or test the vulnerability of our servers, containers, or network without prior express written authorization.
- Engage in denial-of-service (DoS/DDoS) attacks, automated brute-force attempts, or excessive API polling.
- Reverse engineer, decompile, or disassemble proprietary source code or compiled runtime binaries.
- Transmit malicious payloads, viruses, ransomware, trojans, or unauthorized spyware.
- Use platforms for unlawful, defamatory, fraudulent, or harassing purposes.
KalmiTech reserves the right to immediately terminate or throttle access for any actor violating these acceptable use rules without prior notice.
05. Intellectual Property & License
Unless explicitly designated under an open-source license (such as MIT or Apache 2.0 on specific public GitHub repositories), all source code, algorithms, visual layouts, branding, trademarks, icons, and software designs remain the proprietary intellectual property of KalmiTech Technologies and its founder.
You are granted a limited, revocable, non-exclusive, non-transferable license to access and use the web platforms solely for their intended operational purposes.
06. Service Availability & Modifications
We continually iterate, enhance, and deploy software updates across our fleet. KalmiTech reserves the right to modify, suspend, migrate, or discontinue any feature, preview tier, or platform at any time without liability. Maintenance windows may occur for server updates, container refreshes, or security patches.
07. Third-Party Services
Our services integrate with reputable third-party infrastructure providers (e.g., Paystack, GitHub, ZeroSSL/Let's Encrypt, SendGrid). KalmiTech is not responsible for the independent uptime, policies, or actions of third-party external networks.
08. Governing Law
These Terms and any disputes arising out of them shall be governed by and construed in accordance with the applicable laws of the jurisdiction where KalmiTech is registered, without giving effect to conflict of laws principles.
